CellWalk – Terms of Service

These Terms of Service ("Terms") are a legally-binding agreement between Timothy Davison ("we", "us", "our") and you ("you", "your") for your use of the CellWalk application (the "App"), this website, and any in-app purchases.
1. Changes to These Terms
We may amend these Terms at any time. When we do, we will post the updated version at https://cellwalk.ca/#terms-of-service and revise the Last updated date above. A link to this page is provided in the App’s About section. Your continued use of the App after the update becomes effective constitutes acceptance of the revised Terms.
2. Licence Grant
When you purchase the CellWalk Pro one-time unlock (the "Pro Licence") through the Apple App Store we grant you a personal, non-transferable, non-exclusive licence to:
- Immediately access all Pro lessons that exist on the purchase date.
- Receive new Pro lessons published in the 12 months that follow your purchase date (the "Update Period").
After the Update Period ends you retain access to every lesson you already unlocked, but future Pro lessons are not included unless you obtain a new licence or subscription.
3. Future Features, Subscriptions & Usage-Based Fees
We may introduce new features, lessons, or content that are outside the Pro Lessons plan. These may include:
- a forthcoming CellWalk Pro Subscription that unlocks additional capabilities on a recurring-fee basis; and
- features delivered through third-party services whose costs to us will be passed on via a separate subscription or other pricing model yet to be determined.
These charges are not included in your Pro Licence. Access to such offerings will require a separate subscription or other pricing arrangement, which will be clearly disclosed in-app.
4. Automatic Updates
You consent to our downloading and installing App updates, including bug fixes and new Pro lessons, on your device. You may revoke this consent at any time by deleting the App.
5. Acceptable Use & Responsibilities
By using the App you agree not to:
- modify, copy, decompile, reverse-engineer, performance-profile, GPU-frame-capture, or create derivative works of the App or any lesson content;
- remove copyright, trademark, or other proprietary notices;
- mirror or redistribute the App or its materials on any server or platform;
- knowingly or negligently use the App in a way that abuses or disrupts our networks or services;
- transmit or publish harassing, obscene, fraudulent, or unlawful material;
- use the App to spam or send unauthorised advertising;
- violate any applicable laws or regulations; or
- infringe the privacy or intellectual-property rights of third parties.
6. Payment, Refunds, and App Store Rules
All billing and refunds are handled by Apple under the App Store terms, payment policies, and refund procedures.
- Prices include applicable taxes unless stated otherwise.
- We do not collect or store your payment details.
7. Intellectual Property
All lesson content, code, graphics, and trademarks are owned by us or our licensors and are protected by copyright and other laws. Certain images, icons, scientific data or other materials included in the App are licensed from third-party copyright holders under open-source or commercial terms; the full list of those licences is available in the About section of the App. Your licence lets you use this content, not own it.
8. Screenshots & Screen Recordings
You may create, store, and share screenshots, screen recordings, or similar captures of the App ("Captures") for any lawful purpose—including tutorials, reviews, or social-media posts—provided that:
- the Captures comply with these Terms;
- you do not misrepresent your affiliation with us or imply endorsement.
Where Captures include content licensed from third parties (as described in Section 7), your use of that content within the Capture remains subject to the terms of the applicable third-party licence. We may request removal of any Capture that violates these conditions.
9. AI Model Training Restrictions
You may not use, and may not permit others to use, any part of the App—including lesson text, images, audio, video, data sets, or Captures—to train, fine-tune, or evaluate any machine-learning or artificial-intelligence model (including but not limited to large language models, diffusion models, or reinforcement-learning systems), whether for commercial or non-commercial purposes, without our express written permission. Requests for permission can be sent to support@atlasbiotica.ca.
10. Links
The App or its accompanying materials may contain links to third-party websites or resources. We do not review, approve, monitor, endorse, warrant, or make any representations with respect to those sites or resources. We are not responsible for the content or availability of such external sites and have no liability for any loss or damage that may arise from your use of them. You access linked sites at your own risk and should make independent assessments regarding their suitability.
11. Educational Content Disclaimer
The App provides biology-focused educational content for informational purposes only. Although we endeavour to ensure accuracy and keep materials up to date, we make no representations or warranties that any lesson, diagram, animation, or other content is complete, current, or error-free. The App is not a substitute for professional medical or scientific advice, diagnosis, or treatment. You rely on the content at your own risk.
12. Disclaimer & Limitation of Liability
The App and all content are provided “as is” without warranties of any kind. To the maximum extent permitted by Alberta law, our total liability for any claim arising out of these Terms or your use of the App is limited to the amount you actually paid for the Pro Licence. We are not liable for any indirect or consequential loss, including but not limited to loss of data, revenue, or profits.
13. Termination
We may suspend or terminate your licence if you breach these Terms. You may stop using the App at any time. Sections 5, 6, 8–12 survive termination.
14. Severability
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force.
15. Apple Notice (iOS Devices)
These Terms are between you and Timothy Davison, not Apple Inc. Apple is not responsible for the App or its content and has no obligation to provide maintenance or support. If the App fails to conform to any applicable warranty you may notify Apple and Apple will refund the purchase price. Apple is not responsible for product-liability claims, legal or regulatory compliance, or intellectual-property claims arising from your use of the App. Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, have the right to enforce them against you.
You represent and warrant that (1) you are not located in a country subject to a U.S. Government embargo or designated as “terrorist-supporting” and (2) you are not listed on any U.S. Government list of prohibited or restricted parties.
16. Governing Law & Jurisdiction
These Terms are governed by the laws of the Province of Alberta, Canada, without regard to conflict-of-law rules. Any dispute shall be decided exclusively by the provincial or federal courts located in Edmonton, Alberta, and you consent to their jurisdiction.
